Adam August focuses his practice on the formation, structuring, management and operation of U.S. domestic and international private investment funds and registered investment advisors, as well as corporate and securities law and other portfolio investing and transactional matters. Adam advises investment managers to a wide range of private funds, including hedge funds, commodity funds, real estate funds, cryptocurrency funds, private equity funds, and single purpose investment partnerships, with respect to private placements, investment transactions, and complex federal and state registration or exemption issues for investment advisers. Adam also guides clients through other corporate matters and compliance issues throughout the life of their business, and they value his deep knowledge and practical insight when providing legal counsel.
Adam has assisted with negotiating side letter agreements and other strategic relationship documents, completing required SEC filings, including Section 13 and 16 ownership filings, ADV filings and Form PF, and drafting management entity governing documents for various structures and joint ventures, as well as related investment management agreements, seed investor documentation, investment transaction documents, third-party marketing agreements, separately managed account agreements, employment documents, compliance manuals and policies and equity participation plans.
Prior to joining the firm, Adam was a Director in the Compliance and Regulatory group at Duff & Phelps, LLC and, prior to that, worked for over 12 years at Akin Gump Strauss Hauer & Feld LLP in their Investment Funds practice group counseling all manner of private funds and investment managers.
