Allie Fijolek is an associate in the corporate section of Wick Phillips. She focuses on the various aspects of corporate and securities law, investment funds, private equity, joint ventures, private securities offerings, and general corporate matters.
She advises fund sponsors, institutional investors, and investment companies on a broad range of matters, including forming, structuring, marketing, and operating private investment funds, addressing regulatory and compliance requirements, and making investments and co-investments into hedge funds, private investment funds, real estate funds, and other investment products.
Prior to joining Wick Phillips, Allie practiced in the asset management group of the San Francisco office of Ropes & Gray LLP representing investment advisers and institutional investors on various private fund formation matters, including with respect to investments, fundraises, operations, commercial and other negotiations, regulatory compliance, secondary transactions, and restructurings.
She has experience drafting, negotiating, and reviewing fund agreements, advisory agreements, offering materials, transfer and purchase documentation, side letters, wrap agreements for separately managed accounts, subscription documents, and commercial contracts, such as vendor engagement agreements.
